Terms and Conditions

By accessing and using a website, mobile application, or any digital platform of, or by entering into a commercial transaction with or utilizing any other service of Glost Ltd, you acknowledge that you have read, understood, and expressly agreed to be bound by these Terms and Conditions. Glost Ltd reserves the right to modify these Terms and Conditions at any time.

The sale of products and services by Glost Ltd are made expressly subject to these Terms and Conditions. No amendments or additional terms and conditions, including pre-printed terms and conditions included in Customer’s documentation, will be accepted or deemed to modify these Terms and Conditions unless they are agreed to in writing and signed by Glost Ltd.

 1. Definitions

“Article”, “Goods”, or “Items” means any material, part, component, process, or appliance sold or provided by Glost Ltd.

“Glost Ltd,” refers to Glost Ltd, the legal entity providing supply chain solutions under the trading name “Global Sourcing Tech.

“Customer”, “Buyer”, or “Purchaser” means any person or entity that is purchasing or receiving any Article or service from Glost Ltd.

“End User Certificate” means a document provided by Glost Ltd to the Customer to gather information necessary to ensure compliance with applicable laws and regulations.

“Order” means any sales transactions, accepted quotes, purchase orders, confirmations, or other documentation or communication between Glost Ltd and Customer causing Glost Ltd to sell, provide, or otherwise convey any Article or any service to the Customer.

“Terms and Conditions” refers to these Glost Ltd Terms and Conditions.

“Value-added” means any modifications, alterations, adjustments, improvements, or other work performed on an Article at the request of the Customer and in accordance with Customer instructions.

 2. Scope of Services and Role as Intermediary

Glost Ltd, trading as Global Sourcing Tech, offers comprehensive supply chain solutions tailored to meet the diverse needs of Maintenance, Repair, and Overhaul (MRO) facilities, airlines, aircraft manufacturers, and innovators worldwide in the aviation industry. Our services encompass sourcing and delivering components and products, managing existing suppliers, seeking new suppliers, and providing logistics support, including transportation, customs brokerage, inventory management, and other essential services required to efficiently manage the supply chain.

As an intermediary, Glost Ltd connects customers with suppliers, streamlines procurement processes, and ensures a seamless supply chain experience. To enhance the efficiency and breadth of our services, we may engage third-party companies to provide our specialized services within the supply chain process. While we facilitate the procurement and supply of components and products, it is important to clarify that we do not manufacture, produce, or directly control the quality of the items sourced through our services. Therefore, the quality and compliance of these items are subject to the respective suppliers’ standards and specifications.

 3. Cancellation & Refund

No cancellation of orders or product returns are permitted. All Sales are final. If Glost ltd, in its sole discretion, permits the cancellation of an order, Glost ltd reserves the right to charge a fee for all cancelled orders, which may be waived at Glost Ltd’s discretion, and shall be a minimum of 35% of the total cost of the order unless otherwise determined by Glost Ltd. Any alterations, modification or variation of a written order under the terms and conditions of this contract may only be accepted by Glost Ltd when effected in writing and in advance and with any charges resulting from such alterations, modification or variation being levied for the account of the purchaser.

After the purchaser has placed the order and prior to delivery of the goods, Glost Ltd reserves the right to cancel the order.

Customer agrees that the cancellation fees herein described are a reasonable estimation of Glost Ltd’s anticipated profits and other costs and does not constitute a penalty.

 4. Prices

Quoted prices remain valid for 24 hours from the time the quote is issued, unless otherwise stated in writing. In the event prices to Glost Ltd increase, or in the event of cost increases due to circumstances beyond its reasonable control, Glost Ltd may increase prices to cover additional costs of Orders or cancel Orders at its discretion. Glost Ltd will notify Customer of any such price increases, and Customer will have 24 hours to accept the revised price of Articles. Failure by Customer to respond to price increases within 24 hours will be deemed an Order cancellation.

Prices are for Articles only and do not include taxes, impositions, or any other charges, fees, shipping costs, or duties imposed by any intermediary or government authority, which shall be the responsibility of Customer.

 5. Lead time

Quoted lead times are based on information provided to Glost Ltd by its supplier sources. Quoted lead times are provided as an estimate only. Glost Ltd will make every effort to provide Articles or Services within the quoted lead times; however, lead times are subject to change without notice. All lead times shall be subject to the LIMITATION OF LIABILITY provisions of these Terms & Conditions.

 6. Terms of payment

Glost Ltd facilitates payments through bank transfers or other methods as detailed on the Glost Ltd website, via email, or as specified on the pro-forma invoice provided to the purchaser.

Payment for all goods and services shall be made to Glost Ltd upon receipt of the pro-forma invoice or at the time of purchase if other payment methods are requested and/or specified by Glost Ltd. Unless otherwise agreed in writing and in advance, payment shall be made in cleared funds prior to delivery of the goods and/or services is initiated.

Glost Ltd, at its sole discretion, reserves the right to offer alternative payment terms to specific purchasers or in certain circumstances, subject to prior agreement between both parties. Any such alternative payment terms shall be outlined in writing and agreed upon between Glost Ltd and the purchaser.

7. Delivery, Import Fees, and In transit damage

Unless otherwise specifically agreed in writing and in advance by both parties, all risk of loss or damage to the articles from whatever cause arising shall be borne by the Purchaser from the time of delivery to the common carrier. The Purchaser MUST inspect the product immediately upon receipt. If it or any part of it does not operate properly owing to damage in shipment, a claim must be filed together with a full report of the damage and forwarded to Glost Ltd. This must be done within 24 HOURS OF RECEIPT. The forwarding of a copy of the claim to Glost Ltd shall be for information purposes only and shall not in any way be interpreted as an assumption of responsibility by Glost Ltd or those of its agents for any risks in shipment. All freight charges to and from Glost Ltd’s premises or the premises of the carrier shall be the responsibility of the Purchaser. GLOSt Ltd’ suppliers shall be the sole responsibility of the Purchaser unless otherwise agreed in writing and in advance.

Risk of Loss shall pass to Customer when the Article is delivered to the carrier who will be responsible for carriage from Glost Ltd or its suppliers to the Customer, or when the Article is claimed by the Customer in the event the Article is picked up at Glost Ltd’s or its suppliers by the Customer or the Customer’s agent. Carrier and method of payment to the carrier shall be determined by Glost Ltd and Customer during the negotiation of the Order. Delivery dates are estimates only. Glost Ltd is not liable for delays in delivery as a result of export compliance processes, quality protocols, shipping delays or interruptions, or circumstances beyond Glost Ltd’s control.

Glost  Ltd reserves the right to make deliveries by instalments. Delay in delivery or other default of any delivery instalments shall not relieve the purchaser of their obligation to accept and pay for the remaining delivery under the contract. All claims for non-delivery shall be deemed null and void unless they are presented to Glost Ltd within 24 hours of the intended delivery date for each shipment. All claims shall be in writing and delivered by e-mail, letter post, courier or other agreed acceptable means. The Customer shall be required to notify Glost Ltd of any delivery shortages within 24 hours of delivery. If the Customer fails to notify Glost Ltd of any such shortages within this time scale, the Customer shall be deemed to have accepted delivery of all Products. Glost Ltd reserves the right to require the purchaser to take delivery of the goods or services at the agreed time. If for any reason the Customer fails to accept delivery of any of the Products when they are ready for delivery, or Glost Ltd is unable to deliver the Products on time because the Customer has not provided appropriate instructions, documents, licences or authorizations:

. the Products shall be deemed to have been delivered; and

. if Glost Ltd is requested to re-deliver the Products following a failed delivery in accordance with all stated above, Glost Ltd reserves  the right to make an additional charge for such re-delivery.

8. Article of Information

Article information, including information related to an Article’s specifications, export/import control classifications, hazardous materials and dangerous goods information, uses, or conformance with legal or other requirements, is obtained by Glost Ltd from its suppliers or other sources. Glost Ltd provides such information on an “AS IS” basis. All information is subject to change without notice, and Glost Ltd is not responsible for errors or omissions in Article information.

 9. Limitation of Liability

Glost Ltd is not liable for, and Customer is not entitled to, any indirect, special, incidental, consequential, or punitive damages (including, but not limited to, loss of profits or revenue, loss of data, loss of use, rework, manufacturing expense, damage to higher-level assemblies, injury to reputation, loss of customers, costs, or attorneys’ fees) arising out of this transaction.

Glost Ltd is not liable, and Customer is not entitled to, any indirect, special, incidental, consequential, or punitive damages (including, but not limited to, loss of profits or revenue, loss of data, loss of use, rework, manufacturing expense, damage to higher-level assemblies, injury to reputation, loss of customers, costs, or attorneys’ fees) for failure of Glost Ltd to fulfil its obligations for any Order or for delays in delivery due to causes beyond its reasonable control, including but not limited to acts of God, acts or omissions of the Customer, man-made or natural disasters, epidemic or medical crises, materials shortages, strikes, acts of terrorism, delays in transportation, delays of subcontractors or suppliers, or inability to obtain labour or materials through its regular sources.

10. Use of Articles

Glost Ltd is not liable for any failure arising from the use of Articles in any way, including their use as intended by the original manufacturer’s specifications, resulting in personal injury, loss of life, or catastrophic property damage. 

If customer uses or sells the Articles, Customer acknowledges that such use or sale is at Customer’s sole risk. Customer will indemnify, defend, and hold harmless Glost Ltd from and against any and all liabilities and costs arising out of or in connection with such use or sale. Glost Ltd will not be held responsible or liable for any damages resulting from any design, manufacturing, or failure to warn defects inherent in the ARTICLE and/or attributable to the original manufacturer or its suppliers.

Glost Ltd is not liable for personal injury, loss of life, or catastrophic property damage arising from an ARTICLE’s design defect, manufacturing defect, or failure to warn defect. In the event of personal injury, loss of life, or catastrophic property damage arising from an ARTICLE defect, Customer will indemnify, defend, and hold harmless Glost Ltd from and against any and all liabilities and costs arising out of or in connection with such defect.

11. Warranty

No products sold by Glost ltd are manufactured by GLOST ltd, however, certain products may be covered by a manufacturer’s limited warranty. GLOST ltd assigns to the customer any warranty of the manufacturer, and customer acknowledges that it shall have recourse only under such warranties and only against the manufacturer. GLOST ltd makes no representation or express warranty with respect to the product, except those stated herein.

 12. Credit for Returned Products

No products may be returned for credit unless agreed by Glost Ltd in writing and in advance, and any credit, if granted (in the absolute discretion of Glost Ltd), will be subject to the deduction of handling charges, cancellation charges and to adjustment depending on the condition of the products returned. The amount of such reduction or adjustment to be determined by Glost Ltd in its absolute discretion. The responsibility for any damage to returned products during transit lies with the Purchaser. Goods returned for any reason must be despatched by the customer within 48 hours of receipt of the goods by them, according to the date and time of original proof of delivery notice. Any returns after 48 hours may not be credited according to the decision of GLOST Ltd. In accordance with those terms and conditions, the customer accepts the delay in returning goods for refund may invalidate any credit being given by Glost Ltd. LEGIBLY SIGNED PROOF OF COLLECTION OF GOODS REQUESTED FOR RETURN MUST BE E-MAILED AT sales@glostservice.com. Without the above proof of collection returns and subsequent credits cannot be processed.

 14. Technical Advice

Glost Ltd does not accept responsibility for the specific purposes in which the product is applied including but not limited to compatibility with other products. TECHNICAL ADVICE FURNISHED OR RECOMMENDATION MADE BY GLOST Ltd OR BY ANY REPRESENTATIVE OF GLOST Ltd CONCERNING ANY USE OR APPLICATIONS OF ANY GLOST Ltd PRODUCT FURNISHED UNDER THIS CONTRACT IS BELIEVED TO BE RELIABLE BUT GLOST Ltd MAKES NO WARRANTY EXPRESSED OR IMPLIED IN REGARD THERETO NOR DOES GLOST Ltd IN ANY WAY REPRESENT THE RESULTS, WHICH WILL BE OBTAINED BY INTEGRATING ITS PRODUCTS WITH PRODUCTS MANUFACTURED BY OTHER COMPANIES. The application and use of the product is the total responsibility of the purchaser.

 15. Default of Payment

The property in the products shall remain in GLOST Ltd until all monies due to GLOST Ltd in respect therefore have been paid. Should the Purchaser default any payment due under any contract GLOST Ltd has the right without prejudice to recover and remove from the Purchaser’s premises the products to which the default refers. The same shall also apply should the Purchaser become bankrupt or insolvent or have a receiving order made against them or compound with their creditors or carry on their business under a Receiver for the benefit of their creditors. Any costs of such reclamations shall be for the account of the purchaser.

16. Alterations, Modifications and Variations

No Alterations, Modifications or Variations of these Conditions of Sale, Return and Payment Terms shall be effective or valid unless noted herein or contained in a separate written document approved by GLOST Ltd. OTHER STATEMENTS OF ACTION BY SALESMEN REPRESENTATIVES OR OTHERS SHALL NOT BE VALID AND UNTIL SO WRITTEN AND ACCEPTED. WHERE A FIXED PRICE IS AGREED, THE CUSTOMER MUST OBTAIN GLOST Ltd ORDER ACKNOWLEDGEMENT AS NO RE-NEGOTIATION, RETURNS OR CREDIT WILL BE PROCESSED WITHOUT THIS DOCUMENT.

17. Severability

If, and to the extent that, any of the terms and conditions of the contract shall be determined by a court of law to be invalid, unlawful or unenforceable such term or condition shall to that extent be severed from the remaining terms and conditions which shall continue to be valid to the fullest extent permitted by law.

 18. Law

This contract shall be subject to the laws of England and construed in all respects as an English contract. If these conditions of sale are being provided as part of a quotation the quotation shall only be valid for 24 Hours, or less if stated otherwise within the quotation itself, from the date it is provided to any prospective customer. Thereafter the quotation shall be reconfirmed or renewed since it shall otherwise become null and void after that time.

19. Statutory Rights

Your statutory rights are protected according to law.

It’s the process of  the delivery of products from the seller’s warehouse to the customer’s location.

Payment

Bank Transfer

After placing your order, our sales team will send you a pro-forma invoice to the e-mail address you have provided us, containing the total amount of your order with tax if applicable and our bank details to be used for the bank transfer.

You’ll have the option to make the bank transfer/Wire transfer in USD, EUR, GBP, or any other currency.

Card payment

For a faster payment option we offer an international credit/debit card payment method. If you wish to use this option, simply send an e-mail to sales@glostservice.com including your order number, after placing your order. We will reply with an invoice in which you will find the link for payment by card. Please note that payment by card incurs a 2.5% fee in addition to the total order amount.

Final Invoice

After receipt of payment, we will send you the final invoice. Please note that we will only start processing the order once we have received full payment.

Applicable tax rate

If a tax rate applies to your order’s total amount, this will be calculated and displayed on the pro-forma and final invoice.

Tax rates or exemptions will be applied according to the purchaser’s TAX ID and the country in which it’s located.
